1. Acceptance of terms
By creating an account or using Elexa ('the Platform'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, you must not use the Platform.
These Terms constitute a legally binding agreement between you and Elexa. We reserve the right to update these Terms at any time. Continued use of the Platform following notification of changes constitutes acceptance.
2. Eligibility
To use Elexa, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction).
- Have the legal capacity to enter into binding contracts.
- Not be located in, or a citizen of, a country subject to applicable trade sanctions or embargoes.
- Not be prohibited from using financial services under applicable law.
By using the Platform, you represent and warrant that you meet all eligibility requirements.
3. Account registration and security
You must register an account to access most features of Elexa. When registering you agree to:
- Provide a valid email address and create a secure password.
- Keep your login credentials confidential and not share them with any third party.
- Notify us immediately if you suspect unauthorised access to your account.
- Be responsible for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that we believe have been compromised, used fraudulently, or are in violation of these Terms.
4. The escrow system and trade process
Elexa facilitates peer-to-peer trades using a crypto escrow system. When a trade is initiated:
- The seller's cryptocurrency is locked in Elexa's escrow for the duration of the trade.
- The buyer sends payment to the seller using the agreed payment method outside of the Platform.
- Upon the seller's confirmation of payment receipt, the escrowed funds are released to the buyer.
- If payment is not confirmed within the trade time limit, the trade is cancelled and escrowed funds are returned to the seller.
Elexa acts solely as an escrow agent and is not a party to the payment transaction between users. We do not guarantee the performance of either party and are not responsible for losses arising from failed trades.
5. Fees
Elexa charges trading fees on completed trades. The applicable fee percentage is displayed before you confirm any trade and depends on your account tier. Fees are non-refundable once a trade is completed.
Network fees for cryptocurrency withdrawals are paid to the blockchain network, not to Elexa, and are shown as estimates before you confirm a withdrawal.
6. Prohibited activities
You must not use Elexa to:
- Engage in money laundering, terrorist financing, or any other illegal financial activity.
- Trade on behalf of sanctioned individuals, entities, or jurisdictions.
- Defraud other users, including by initiating trades with no intention of completing payment.
- Use stolen payment methods or misappropriated funds.
- Create multiple accounts to circumvent restrictions or exploit promotions.
- Manipulate the reputation or feedback system.
- Upload or transmit malware, spam, or any malicious content.
- Attempt to gain unauthorised access to other users' accounts or platform systems.
- Use automated bots or scripts to interact with the Platform without prior written consent.
- Engage in market manipulation or coordinated price-fixing with other users.
Violation of these prohibitions may result in immediate account suspension, termination, and referral to law enforcement authorities.
7. Disputes between users
If a disagreement arises between trading partners, either party may initiate a dispute through the Platform. Our moderation team will review evidence submitted by both parties and issue a binding resolution.
Dispute decisions are final. Escrowed funds will be released in accordance with the moderator's decision. Elexa reserves the right to charge a dispute handling fee in cases of evident bad faith.
You agree not to initiate chargebacks, payment reversals, or legal claims against your trading partner without first exhausting the dispute resolution process on the Platform.
8. Limitation of liability
To the fullest extent permitted by applicable law, Elexa shall not be liable for:
- Losses resulting from user error, including sending funds to incorrect addresses.
- Losses caused by market volatility or exchange rate fluctuations.
- Losses resulting from third-party payment service failures or reversals.
- Any indirect, incidental, special, or consequential damages arising from use of the Platform.
- Temporary unavailability of the Platform due to maintenance or technical issues.
Our total liability to you in connection with any claim shall not exceed the total fees paid by you to Elexa in the 3 months preceding the event giving rise to the claim.
9. Intellectual property
All content on the Platform, including but not limited to the Elexa name, logo, design, software, and documentation, is owned by or licensed to Elexa and protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose. You may not copy, modify, distribute, or create derivative works from our intellectual property without express written permission.
10. Termination
You may close your account at any time by contacting support. We may suspend or terminate your account at any time with or without notice if we believe you have violated these Terms or applicable law.
Upon termination, any open trades will be handled in accordance with their individual status. Any funds held in escrow at the time of termination will be handled according to our internal procedures and applicable law.
11. Governing law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under these Terms that cannot be resolved through our dispute process shall be subject to the exclusive jurisdiction of competent courts.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
